Marvell's Lumentum merger makes strategic sense; the market's hostile reaction is overdone.
Marvell agreed to merge with Lumentum in a $115B deal combining a custom semiconductor business with a laser company, creating a top supplier to data centers. Cramer says the deal is intellectually rigorous and makes real sense. The market despises it instead, and the stock has fallen more than 10% for each of the last three trading days, which he calls abysmal.
“You know what, I think the deal's actually a good one. I'm not kidding. I thought it really made sense. It was intellectually rigorous,”at 7:46

Marvell's Lumentum deal creates a data-center winner worth far more long term, despite a slow close.
Cramer calls the $115 billion Marvell-Lumentum deal logical because it combines custom semiconductors with fiber-optic lasers that move data faster and cooler than copper, making it data-center connective tissue. CEO Matt Murphy has done five major takeovers in ten years, and investors made money on each. The deal may take 18 months or longer, which could cause merger purgatory and make the stock lag. Over the long haul, Cramer thinks the company could be worth double today's value and is on its way to the trillion-dollar valuation Jensen Huang predicted.
“I do believe that a company that combines custom semiconductors with fiber optic lasers to move data around in a fast and cooler fashion than copper is a company that could be worth double Marvell's current value over the long haul.”at 44:50

Marvell's all-stock $80B Lumentum deal is a mistake, using overvalued stock to chase Broadcom-style gaps.
Terranova owns Marvell and dislikes the Lumentum deal. He says Marvell is thriving in optical networking with strong relationships with companies like Nvidia, but he objects to using its stock, which he calls clearly at a very high valuation, to buy another company. He argues Marvell is chasing Broadcom, which offers the full optical networking stack, while Marvell has gaps this deal fills. He sees it as a return to a prior-cycle pattern of all-stock acquisitions at high valuations, and notes the deal does not close until 2028, which adds political risk.
“I don't like utilizing your stock, which is clearly at a very high valuation to buy another company.”at 42:17

Marvell likely to announce a Lumentum acquisition, a major deal he sees as strategically sound.
Cramer expects Marvell to announce on Monday a deal to acquire Lumentum, one of the largest tech deals ever. Marvell's stock has run since CEO Matt Murphy's October 6 analyst meeting, where he laid out plans to dominate data center fiber. Cramer argues copper inside data centers will eventually be replaced by fiber optics, which transmit data faster and run cooler, so the industrial logic is 'fabulous.' He rejects the JDS Uniphase/SDL analogy (a $41 billion deal on about $300 million of sales in 2000), arguing the combination locks up intellectual property that data centers will need for years.
“But sure enough, when we come in on Monday, it would not surprise me if Marvell Technologies, MRVL, announces a deal to acquire Lumentum, which would be one of the largest tech deals ever.”at 3:35

Marvell is cheap at about 15x 2028 earnings with 60% growth; expects $450 by 2029.
Hatfield calls Marvell his firm's favorite idea. Marvell signed an Oracle agreement implying about $120B of revenue, against about $12B of revenue this year. It is growing revenue about 60% and has guided to EPS of about $14 in fiscal 2028-2030. After an announced dilutive merger, the stock fell to $216, which he says prices it at about 7x 2030 EPS and under 18x a diluted 2028 figure. On PEG logic, the stock is about a quarter of a PEG. At 15x, the stock would be worth $450 by 2029 as earnings more than double.
“if it trades at 15 times ... in '29 going into '30, it'll be worth $450 because that's ... it's gonna more than double in just two more fiscal years.”at 30:18

Marvell's dilutive acquisition cut the target to $350; the stock will be out of favor for a while.
Hatfield's fund holds Marvell. A dilutive acquisition moves '28 EPS estimates from about $14 to about $12, so they cut their target from $425 to $350. He expects the stock to be out of favor for a while because investors are angry about the deal, so the fund will sell calls at the new target for two or three months. He still thinks the stock is worth the target even after the bad catalyst. The transcript reads the figures as $4.25 and $3.50; the EPS-times-multiple math implies $425 and $350.
“But what we can do is when it gets announced, we redo our earnings estimates. We're estimating $14 for '28. This is a dilutive acquisition, so we can figure out pretty quickly it's gonna be 12. We've reduced our target from four and a quarter to three fifty.”at 58:30

Marvell paying top dollar for Lumentum signals strong conviction in optics, though it could be a mistake.
Max notes Lumentum has not fallen sharply from its June high, so a deal would be at close to the stock's trading level, and it is therefore top dollar. Given the market caps, he thinks the deal probably includes a cash component. He reads the price as a sign of conviction that optics will matter, while accepting it could be a huge mistake and that there is no guarantee an acquisition works.
“Somebody has having conviction in the future being optics... It could be a huge mistake... It shows a lot of confidence to pay top dollar.”at 1:01:59
